Acceptance of Terms

By downloading, installing, or using any Nice Software application, you agree to these Terms of Use. This includes but is not limited to SlowRead, Studio Matter, Wax & Pigment, NotaBill, NotaTime, Invoice PDF, and any other products or services we offer (collectively, "Services"). If you do not agree with any part of these terms, you may not use our Services. We reserve the right to modify these terms at any time. Continued use of our Services after changes constitutes acceptance of the updated terms.

License Grant

Nice Software grants you a limited, non-exclusive, revocable license to use our Services for personal or business purposes, subject to these terms. This license does not permit you to:

• Reverse engineer, decompile, or disassemble our apps
• Modify or create derivative works of our Services
• Use our Services for unlawful purposes
• Attempt to circumvent or disable any security features
• Resell, redistribute, or sublicense our Services
• Use our Services to build competitive products
• Access our Services by automated means (scraping, bots, etc.)

Acceptable Use

You agree to use our Services lawfully and responsibly. You are responsible for:

• The accuracy and legality of content you create within our Services
• Complying with all applicable laws and regulations
• Not using our Services for fraudulent, deceptive, or harmful purposes
• Protecting your device and account credentials
• Respecting intellectual property rights of others
• Not harassing, threatening, or abusing others through our Services

Nice Software reserves the right to suspend or terminate access to our Services if we believe you are violating these terms or applicable laws.

Your Data & Content Ownership

You retain full ownership of all content you create within our Services (designs, text, documents, invoices, time entries, etc.). You are responsible for:

• Maintaining backups of important data
• Configuring cloud sync according to your privacy preferences
• Managing your device and cloud account security
• Ensuring exported data is handled appropriately for your use case

Nice Software is not responsible for loss of data due to device loss, user error, cloud service issues, or other circumstances beyond our control. We strongly recommend regularly exporting and backing up your data.

Intellectual Property Rights

Our Services, including design, code, functionality, and branding, are protected by copyright, trademark, and other intellectual property laws. You may not:

• Copy or reproduce our branding or design for your own products
• Use our trademarks or logos without permission
• Create works that confuse users about their source or origin
• Claim our work as your own

Your content remains your property. By using our Services, you grant Nice Software a limited license to use your content solely to provide the Services to you.

Disclaimer of Warranties

Our Services are provided "as is" and "as available" without warranties of any kind, express or implied. To the maximum extent permitted by law, Nice Software disclaims:

• Warranties of merchantability, fitness for a particular purpose, or non-infringement
• Warranties that our Services will be uninterrupted, error-free, or secure
• Warranties that our Services will meet your specific requirements
• Warranties regarding accuracy of calculations or completeness of features
• Warranties regarding third-party services or integrations

Your use of our Services is at your own risk. Some jurisdictions do not allow disclaimers of implied warranties, so this disclaimer may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, Nice Software is not liable for:

• Loss of data, profits, revenue, or business opportunities
• Loss of accuracy, completeness, or reliability of records
• Indirect, incidental, special, consequential, or punitive damages
• Any damages arising from your use or inability to use our Services
• App crashes, sync failures, or third-party service interruptions
• Unauthorized access to or alteration of your data
• Errors or delays in processing your content

This limitation applies even if Nice Software has been advised of the possibility of such damages. Some jurisdictions do not allow limitation of liability, so this may not apply to you.

Service Availability

Most of our Services are designed to work primarily on your device. However:

• Cloud sync features require internet connectivity and availability of cloud services
• Notifications and widgets depend on operating system services
• Web versions (if available) depend on server availability
• We do not guarantee uninterrupted availability of features dependent on third-party services

Nice Software may discontinue features, modify our Services, cease updates, or suspend service at any time. We will attempt to provide advance notice of significant changes, but do not guarantee this.

Indemnification

You agree to indemnify and hold harmless Nice Software, its owners, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of our Services
• Content you create or export from our Services
• Your violation of these terms or applicable laws
• Your infringement of third-party intellectual property rights
• Claims by others related to your use of our Services

Third-Party Services & Links

Our Services may link to or depend on third-party services including Apple, Google, Microsoft, cloud providers, and other vendors. These services are governed by their own terms of service and privacy policies. Nice Software is not responsible for:

• Third-party services, their availability, or your use of them
• Content provided by third parties
• Errors or issues with third-party integrations
• Changes to third-party services or their terms

Your interactions with third-party services are subject to their terms and privacy policies. We recommend reviewing these carefully.

Fees & Payment

Many Nice Software Services are free. Some may require one-time purchases, subscriptions, or in-app purchases. By making a purchase:

• You authorize the payment through your device's app store or payment provider
• You agree to pay all applicable fees and taxes
• You acknowledge that purchases are non-refundable except where required by law or the app store
• For subscriptions, you agree to automatic renewal at the current price unless you cancel
• You accept responsibility for managing your subscriptions and purchases

Nice Software does not handle payments directly; these are processed by Apple, Google, or other payment providers. Their terms and policies apply to your payment.

Export Compliance

Our Services may be subject to export control laws. You agree not to export or re-export our Services to countries or entities prohibited by applicable law. You are responsible for ensuring your use complies with all applicable export control regulations.

Termination

These terms are effective until terminated. Your rights under these terms will terminate automatically if you breach any provision. Nice Software may also terminate or suspend your access to our Services at any time, with or without cause, for any reason or no reason.

Upon termination, you must stop using our Services. The following sections survive termination: Your Data & Content Ownership, Intellectual Property Rights, Disclaimer of Warranties, Limitation of Liability, and Contact Us.

Governing Law & Jurisdiction

These Terms of Use are governed by and construed in accordance with the laws applicable in the jurisdiction where Nice Software operates, and you irrevocably submit to the exclusive jurisdiction of courts in that location. If you are located outside this jurisdiction, you acknowledge that you are subject to these terms.

Entire Agreement

These Terms of Use, together with our Privacy Policy, constitute the entire agreement between you and Nice Software regarding your use of our Services. They supersede all prior or contemporaneous agreements, communications, or proposals, whether written or oral. If any provision of these terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.
